Job Purpose:

 

The Legal Counsel, Commercial (EMEA) is responsible for drafting, reviewing, and negotiating a wide range of commercial agreements and providing trusted, business-oriented legal advice to internal business units. The role will focus on supporting Sales and other customer-facing teams and working with clients across the EMEA region.

 

This position requires strong drafting and negotiation skills, excellent attention to detail, sound judgement, the ability to effectively communicate complex legal concepts, and the ability to appropriately balance legal risk with commercial objectives. The Legal Counsel collaborates closely with internal stakeholders, including Sales, Professional Services, Partnerships, Procurement, Product Management and colleagues across the legal team, to support business goals while ensuring compliance with applicable laws and internal policies.

 

Key Responsibilities

  • Draft, review, and negotiate diverse range of commercial agreements, including Software as a Service (SaaS) agreements, software license agreements, services and consulting agreements, reseller and partner agreements, supplier and vendor contracts and contractor agreements.
  • Provide accurate, practical and timely legal advice on commercial, regulatory, data protection, intellectual property, and compliance matters relevant to the software and technology industry, with a focus on issues common to European jurisdictions.
  • Partner with internal stakeholders to support deal structuring, risk assessment, and contract execution, providing solutions that enable business objectives while managing legal risk.
  • Contribute to the global Legal team through the sharing of knowledge, creation, management, and update of contract templates and playbooks, while driving usage of contract lifecycle management systems across Kinaxis.
  • Monitor legal and regulatory developments across the EMEA region and advise stakeholders on potential impacts to business operations.
  • Collaborate with Data Privacy, Security, and Compliance teams to ensure contracts reflect appropriate data protection and information security standards.

 

 

Skills and Qualifications

  • Law degree with at least 5-7 years of relevant experience, preferably in-house or in private practice supporting clients in the software or technology sector.
  • Licensed to practice law in relevant European jurisdiction (e.g. Ireland, the United Kingdom, Germany, France, Netherlands).
  • Strong understanding of corporate/commercial law and experience negotiating SaaS and other technology-based contracts, especially with European clients and counterparties.
  • Solid knowledge of data protection (including GDPR), intellectual property, and compliance matters.
  • Excellent drafting, negotiation, and communication skills with the ability explain complex concepts clearly.
  • Proficiency with contract lifecycle management tools and digital contract execution platforms (e.g. Ironclad, DocuSign).
  • Experience supporting SaaS or cloud-based technology businesses and revenue generating teams, with familiarity in subscription models and related contractual considerations.
  • Strong judgement, analytical thinking, and problem solving skills with a pragmatic, business-focused approach.
  • Fluency in English required; proficiency in another European language (such as German, French, or Spanish) is preferred.
